Non-Refundable Purchase Agreement
This Non-Refundable Purchase Agreement ("Agreement") is entered into by and between Gregory Duane LLC ("Seller"), and the buyer ("Buyer") who completes an online transaction via Square, or any other payment method on Seller's website, www.gregoryduane.com ("Website").
WHEREAS, Seller is engaged in the business of designing, manufacturing, and selling high-quality clothing items, including but not limited to custom-made suits, ready to wear suits, dress shirts, tuxedos, sport coats, overcoats, and handmade shoes (collectively, the "Products");
WHEREAS, Buyer desires to purchase certain Products from Seller and agrees to the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:
Purchase and Payment Terms
1.1 Product Selection: Buyer agrees to purchase the products selected and added to the shopping cart on Seller's Website (the "Products").
1.2 Payment: Buyer agrees to pay the total purchase price displayed at checkout (the "Purchase Price") in full at the time of the online transaction via Square, or any other payment method.
2. Non-Refundable Purchase
2.1 Final Sale: Buyer acknowledges and agrees that all sales of Products are final and non-refundable once the online transaction via Square, or any other payment method is completed.
2.2 No Returns or Exchanges: Buyer understands that Products cannot be returned or exchanged for any reason, including but not limited to dissatisfaction with the Products, changes in personal circumstances, or any other reason.
3. Delivery
3.1 Shipping: Seller will arrange for delivery of the Products to the address provided by Buyer at checkout. Estimated delivery times are provided for convenience and are not guaranteed.
3.2 Responsibility: Seller is not responsible for any delays in delivery or any issues once the Products have been shipped, including but not limited to customs delays, shipping damage, or loss during transit.
4. Product Warranty
4.1 Quality Assurance: Seller warrants that the Products will be free from material defects in workmanship and materials at the time of delivery.
4.2 Exclusions: This warranty does not cover damages caused by misuse, alterations, improper care, or normal wear and tear. In the event of a defect covered by this warranty, Seller's sole obligation shall be to repair or replace the defective Product, at Seller's discretion.
5. Limitation of Liability
5.1 Indirect Damages: Seller shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement or the Products.
5.2 Maximum Liability: Seller's total liability under this Agreement shall not exceed the Purchase Price paid by Buyer.
6. Governing Law
6.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
6.2 Dispute Resolution: Any disputes arising out of or relating to this Agreement shall be resolved in the state or federal courts located in Union County, New Jersey, and the parties hereby consent to the exclusive jurisdiction and venue of such courts.
7. Miscellaneous
7.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the subject matter hereof.
7.2 Amendments: Any amendments or modifications to this Agreement must be in writing and signed by both parties.
7.3 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
By completing the online transaction via Square, or any other payment method, Buyer acknowledges and agrees to the terms and conditions of this Non-Refundable Purchase Agreement.
